Legal Justification

The urgency arises from external vendor decisions and market changes, not from delay, poor planning, or inaction by the Council. The Council could not have reasonably foreseen: • The scale of the price increases • The mandatory move from perpetual licenses to subscription-only licensing • The restriction of pricing visibility to approximately 60 days before renewal • The removal of commercial flexibility previously available through the reseller market These factors materially constrained the Council's ability to plan, budget, or undertake a competitive procurement in advance of contract expiry.
