Legal Justification

The contract is to be awarded directly in accordance with the Procurement Act 2023 due to the absence of competition for objective technical reasons. The Oracle Enterprise Licence Agreement is deeply embedded within Network Rail’s existing IT architecture and underpins a wide range of live business‑critical systems. Oracle’s software is proprietary, and the licences form part of a long‑established enterprise agreement. Replacement would require extensive and costly re‑engineering, data migration, recertification, and retraining, resulting in disproportionate cost, operational risk, and service disruption relative to the value of the renewal. The proposed contract is a like‑for‑like renewal with no expansion of scope, functionality, or usage, and no reasonable alternative supplier is capable of providing a compatible solution without these impacts.
