Description
The provider is an NHS Foundation Trust delivering acute healthcare services, including but not limited to Commissioner Requested Services (CRS) / Essential Services and specialised services. Due to the nature of these healthcare services, the provider is the only organisation capable of delivering the required services. The contract commenced on 01/04/2024 and will end on 31/03/2027, with an option to extend for a further two years. This contract award was made following Direct Award Process A under the Health Care Services (Provider Selection Regime) Regulations 2023 (Regulation 7). Additional funding from NHS SEL ICB has been added to the contract value, bringing the revised annual total contract value to £1,211,554,000. This is a Provider Selection Regime (PSR) contract modification notice under the Health Care Services (Provider Selection Regime) Regulations 2023. For the avoidance of doubt, the provisions of the Public Contracts Regulations 2015 do not apply to this award. This contract has now been formally modified. The decision to modify this contract was approved by the SEL ICB GSTT Contract Management Board, and the contract was signed by the SEL ICB Chief Executive Officer. No conflicts of interest were declared. SEL ICB's Standards of Business Conduct policy is aligned with the arrangements set out in the SEL ICB Constitution to ensure the integrity of decision-making processes and to support staff in effectively managing conflicts of interest.

Legal Justification
The services under this contract are delivered by an NHS Foundation Trust providing integrated acute healthcare services, including Commissioner Requested Services (CRS) / Essential Services and specialised services. Due to the highly integrated nature of these services across hospital sites, there is no alternative provider capable of delivering the full scope of services to the required standard. A change of contractor would result in significant disruption to patient care, service continuity, and clinical risk. It would also lead to substantial duplication of costs associated with mobilising a new provider, including workforce transition, infrastructure, clinical systems, and governance arrangements. Therefore, for both technical and economic reasons, the existing provider remains the only viable organisation capable of delivering the services.

Additional funding from NHS SEL ICB has been added to the contract value, resulting in a revised annual total contract value of £1,211,554,000. This represents an increase in contract value of over £500,000. This is a Provider Selection Regime (PSR) contract modification notice, under the Health Care Services (Provider Selection Regime) Regulations 2023. For the avoidance of doubt, the provisions of the Public Contracts Regulations 2015 do not apply to this award. This contract has now been formally modified. The decision to modify this Contract was approved by the SEL ICB GSTT Contract Management Board, and the Contract signed by SEL ICB Chief Executive Officer. No conflicts of interest were declared, noting SEL ICB's 'Standards of Business Conduct' policy is in line with arrangements outlined within the SEL ICB constitution to support the integrity of decision-making processes and help staff manage conflicts of interest risks effectively.
