Legal Justification

Single supplier - intellectual property or exclusive rights: the services under the contract are limited to the ongoing support and maintenance of an EPR system provided by Altera which is already implemented and operational at LHCH. Altera owns the IP rights in the EPR system and LHCH holds perpetual licences to use the software. There are no reasonable alternatives as it is not practicable for an alternative supplier to provide support services for Altera's proprietary system without access to the underlying IP and a wholescale replacement of the system would involve significant operational disruption and risk to patient safety. Single supplier - technical reasons: due to the technical architecture of the EPR system, Altera possesses the technical know-how, development tools and access to the proprietary code to deliver the support and maintenance services and so competition is absent for technical reasons. As above, there are no reasonable alternatives as another supplier providing such services would give rise to significant technical and practical challenges as it would not have access to the underlying code/system and any replacement of the EPR system would be disproportionate given the clinical risks and operational disruption involved. Additional or repeat goods, services or works - extension or partial replacement: the contract relates to the continuation of support and maintenance services which are the same as or compatible with the existing services already being supplied to LHCH. As above, an alternative supplier would result in LHCH receiving services that would be incompatible with the existing EPR system deployed at LHCH and therefore there would be disproportionate technical difficulties in the operation and maintenance of the EPR system.
