Description
This Contract is for the annual service of Warden call equipment situated within Sheltered Housing complexes throughout Fife, followed by repairs on a call-out “as and when required” basis, with 2 priority levels: Priority 1 – Emergency (require to inspect and make safe within 2hrs of call, and complete the repair within 24hours of call) Priority 2 - Routine (require to complete inspection and repair within 28 days) Priority 3 – Annual Service The systems currently in use are Tynetec NT, Tynetec XT, Tynetec Advent and Shorrock S/A. In addition to the annual service and call-outs, the successful tenderer must be able to provide and install approved spare parts. The contract period will be 3 years, from 1st January 2020 to 31st December 2023 with the option of extending this contract for up to two periods of up to 12 months. Tenderers must note that the Council’s initial budget for this contract including extensions is a maximum of 250,000.00 GBP Any tenders exceeding this figure will automatically be disqualified.

PARTIES (1) The Fife Council, constituted in terms of the Local Government etc. (Scotland) Act 1994, and having its principal office at Fife House, North Street, Glenrothes, Fife KY7 5LT (Continuing Party); (2) McGill Scotland Ltd incorporated and registered in Scotland with company number SC565807, whose registered office is McGill, Harrison Road, Dundee, Scotland, DD2 3SN (Outgoing Party); and (3) McGill Facilities Management Limited (formerly, Alliance Electrical Services Limited) incorporated and registered in Scotland with company number SC330741, whose registered office is at Affinity Business Centre, Harrison Road, Dundee, Scotland, DD2 3SN (Incoming Party). BACKGROUND (A) The Continuing Party and the Outgoing Party have entered into contract for the provision of services by the Outgoing Party to the Continuing Party including, but not limited to, for the following work packages: (a) Warden call maintenance and planned maintenance (together, the Contracts). (B) As part of an internal reorganisation of its group of companies, the Outgoing Party has transferred its business to another company within its group, the Incoming Party. As a result, the Outgoing Party wishes to transfer its rights and obligations under the Contracts to the Incoming Party as part of the business transfer. (C) The Outgoing Party shall continue to be liable for any failure by it to perform its obligations under the Contracts before the Effective Date. (D) The parties have therefore agreed to novate the Outgoing Party's rights and obligations under the Contracts to the Incoming Party on the terms of this agreement with effect from 3rd September 2021 (Effective Date).
